The terms governing your access to and use of FreezeAlert.

These Terms of Use govern your access to and use of freezealert.app and axiron.group (the "Site") and the FreezeAlert risk monitoring platform (the "Service"), operated by Axiron, Corp., a Delaware C Corporation. By accessing the Site or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

I. Acceptance and Eligibility
1.1 Acceptance
By creating an Account, clicking "I Agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Axiron, Corp.
1.2 Eligibility
You must meet all of the following criteria to use the Service:
- You are at least 18 years of age
- You have the legal authority to enter into binding agreements on behalf of yourself or the organization you represent
- Your use of the Service does not violate any applicable law or regulation
- You are not located in, organized under the laws of, or a resident of any country subject to comprehensive U.S. government sanctions (including, as of the Effective Date, Cuba, Iran, North Korea, Russia, Syria, and the Crimea, Donetsk, and Luhansk regions)
1.3 Business Use
FreezeAlert is a B2B platform designed for business users — founders, finance teams, operations teams, and developers. It is not intended for personal, household, or consumer use.
1.4 Authority
If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
II. Accounts
2.1 Registration
To use the Service, you must register for an Account by providing accurate, current, and complete information. You agree to update this information promptly if it changes.
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your Account credentials (username, password, API tokens)
- All activity that occurs under your Account
- Immediately notifying us of any unauthorized access or security breach at [email protected]
We are not liable for any loss or damage arising from your failure to maintain account security.
2.3 One Account Per Entity
Each legal entity may maintain one active Account unless otherwise agreed in writing. Multiple team members may access a single Account based on the permissions of your Subscription plan.
2.4 Account Suspension and Termination
We reserve the right to suspend or terminate your Account at any time if we reasonably believe you have violated these Terms, provided false information, or engaged in activity that could harm the Service, other users, or third parties. Where feasible, we will provide notice before suspension. For serious violations (e.g., fraud, illegal activity, security threats), we may terminate immediately without notice.
III. The Service
3.1 Description
FreezeAlert is an early-warning SaaS platform that monitors signals from connected PSPs and provides risk scoring, alerts, reports, and workflow automation to help businesses anticipate and respond to payment provider restriction risks. The Service includes:
- Real-time and scheduled risk signal monitoring
- Configurable alerts via Telegram, Slack, Discord, email, SMS, and webhooks
- Risk scoring and trend analysis dashboards
- Workflow automation (action graphs) triggered by risk events
- Reports and data exports
- API access (where included in your plan)
3.2 Informational Nature of Outputs
All risk scores, alerts, reports, and other outputs generated by FreezeAlert are informational only. They do not constitute financial, legal, compliance, or business advice. FreezeAlert does not make automated decisions that produce legally significant effects on you or your business. You retain full decision-making authority over how to act on any alert or score. We strongly recommend that you consult qualified professional advisors before making significant business decisions based on FreezeAlert outputs.
3.3 No Guarantee of Outcomes
FreezeAlert provides early-warning signals based on publicly available information and data you share with us. We do not guarantee that:
- Any particular risk event will be detected or predicted
- Alerts will be received within any specific timeframe
- Acting on alerts will prevent a PSP restriction, freeze, or termination
- PSP behavior can be predicted with certainty
Use of the Service does not guarantee any business outcome.
3.4 Service Availability
We aim to provide a reliable Service but do not guarantee 100% uptime. Scheduled maintenance, unexpected outages, or third-party service failures (e.g., PSP API changes) may cause temporary interruptions. We will make reasonable efforts to notify you of planned maintenance in advance.
3.5 Beta Features
We may offer features labeled "Beta," "Early Access," or "Experimental." These features are provided as-is, may change or be discontinued without notice, and are excluded from any uptime or support commitments.
3.6 Third-Party Integrations
The Service integrates with third-party PSPs and platforms (e.g., Stripe, Slack, Telegram). These integrations depend on third-party APIs and policies that may change without notice. We are not responsible for third-party service interruptions, policy changes, or data practices. Your use of third-party integrations is also governed by those third parties' terms of service.
IV. Subscriptions and Payment
4.1 Subscription Plans
Access to the Service requires a Subscription. We offer various plans (e.g., Starter, Growth, Enterprise) with different features, usage limits, and pricing as described on our pricing page. We reserve the right to modify plan features and pricing with reasonable notice.
4.2 Free Trial
We may offer a free trial period. At the end of the trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will notify you before the trial ends.
4.3 Billing
- Subscriptions are billed in advance on a monthly or annual cycle, as selected at checkout.
- All fees are in U.S. Dollars (USD) unless otherwise stated.
- Payment is processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record, under Paddle's Buyer Terms. Paddle handles all billing, payment processing, tax collection, and invoicing. We do not store raw payment card data.
- You authorize Paddle to charge your payment method on the billing cycle for the applicable Subscription fee.
4.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities, excluding taxes on our net income.
4.5 Late Payment
If a payment fails, we will notify you and provide a cure period of at least 7 days. If payment remains outstanding after the cure period, we may suspend your Account until payment is received.
4.6 Refunds
Refunds are provided at the sole discretion of Paddle, our Merchant of Record, on a case-by-case basis. For full details, see our Refund Policy and Paddle's Buyer Terms.
4.7 Cancellation
You may cancel your Subscription at any time from your Account Settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the period ends.
4.8 Plan Changes
You may upgrade your plan at any time; the new rate applies immediately with a pro-rated credit for the unused portion of the current period. Downgrades take effect at the start of the next billing period.
V. Acceptable Use
5.1 Permitted Use
You may use the Service only for lawful business purposes consistent with these Terms and applicable law.
5.2 Prohibited Conduct
You agree not to:
- Circumvent or abuse the platform: Access the Service using automated tools (bots, scrapers) other than through our official API; attempt to probe, scan, or test the vulnerability of our systems; or bypass any authentication or security controls.
- Misuse API access: Exceed rate limits, share API keys with unauthorized third parties, or use API access to build a competing product.
- Transmit harmful content: Upload, transmit, or distribute malware, viruses, or any code designed to damage or disrupt the Service.
- Impersonate others: Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
- Violate third-party rights: Use the Service in a manner that infringes the intellectual property, privacy, or other rights of any third party.
- Engage in illegal activity: Use the Service to facilitate fraud, money laundering, sanctions evasion, or any other unlawful activity.
- Interfere with other users: Disrupt or interfere with the Service experience of other users.
- Resell without authorization: Resell, sublicense, or white-label the Service without a separate written agreement with Axiron, Corp.
- Reverse engineer: Decompile, disassemble, reverse-engineer, or attempt to derive the source code of the Service.
- Harvest data: Collect or aggregate data from the Service for purposes outside your own business monitoring without our written consent.
5.3 Compliance with PSP Terms
You are solely responsible for ensuring that your use of FreezeAlert — including connecting PSP accounts and using risk signals — complies with the terms of service of your PSPs. We make no representations about PSP terms compatibility.
5.4 Enforcement
We reserve the right to investigate and take appropriate action against violations of this Section, including suspending or terminating Accounts, reporting to law enforcement, and pursuing legal remedies.
VI. Your Data and Content
6.1 Ownership
You retain all ownership rights to data you upload to or generate through the Service, including PSP credentials, configurations, alert settings, and exported reports ("Your Data").
6.2 License to Axiron
By using the Service, you grant Axiron, Corp. a limited, non-exclusive, royalty-free, worldwide license to access, use, store, and process Your Data solely to: (a) provide and operate the Service; (b) improve and develop the Service (using anonymized, aggregated data only); and (c) comply with legal obligations.
6.3 Your Responsibility for Data
You represent and warrant that:
- You have all necessary rights and permissions to share Your Data with us
- Your Data does not violate any applicable law or third-party rights
- You are responsible for the accuracy and legality of Your Data
6.4 Aggregated Data
We may use anonymized, aggregated, non-identifying data derived from your use of the Service (e.g., industry-level risk trends) for product improvement, research, and marketing. This data will not identify you or your business.
6.5 Data Portability and Deletion
Upon cancellation or request, you may export Your Data in a structured format (JSON/CSV) from your Account Settings. After account closure, we will delete or anonymize Your Data within 30 days, subject to retention obligations described in our Privacy Policy.
VII. Intellectual Property
7.1 Axiron's IP
All intellectual property rights in the Service, Site, underlying software, algorithms, risk scoring models, documentation, trademarks, and brand elements (including "FreezeAlert" and "Axiron") are owned by or licensed to Axiron, Corp. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.
7.2 Feedback
If you submit feedback, suggestions, ideas, or feature requests ("Feedback"), you grant Axiron, Corp. a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without obligation or compensation to you.
7.3 Restrictions
You may not: copy, modify, create derivative works of, distribute, sell, or sublicense the Service or any part thereof; remove or alter any proprietary notices or labels; or use our trademarks without prior written consent.
VIII. Confidentiality
8.1 Definition
"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential, including pricing, product roadmap, technical architecture, and business data.
8.2 Obligations
Each party agrees to: (a) hold the other's Confidential Information in strict confidence; (b) use it only to fulfill obligations under these Terms; and (c) not disclose it to third parties without prior written consent, except to employees or contractors with a need to know who are bound by equivalent confidentiality obligations.
8.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known without breach; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) must be disclosed by law or court order (with prompt prior notice to the disclosing party where legally permitted).
IX. Warranties and Disclaimers
9.1 Our Warranties
We represent and warrant that: (a) we have the legal authority to enter into these Terms; (b) the Service will be provided in a professional and workmanlike manner; and (c) we will implement reasonable security measures to protect Your Data.
9.2 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXIRON, CORP. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that: (a) the Service will be error-free or uninterrupted; (b) any risk score, alert, or report will be accurate, complete, or timely; (c) the Service will prevent any PSP restriction, freeze, or termination; or (d) the Service will meet your specific business requirements.
X. Limitation of Liability
10.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXIRON, CORP. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXIRON, CORP.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO AXIRON IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
10.3 Essential Basis
The limitations of liability in this Section reflect a fair allocation of risk and are an essential basis of the bargain between you and Axiron, Corp. Without these limitations, we would not be able to offer the Service at current pricing.
10.4 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
XI. Indemnification
You agree to defend, indemnify, and hold harmless Axiron, Corp. and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights (including PSP terms of service)
- Any data or content you submit to the Service
- Your negligence or willful misconduct
We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully.
XII. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.
12.2 Informal Resolution
Before initiating any formal dispute, the parties agree to first attempt to resolve the dispute informally. Either party may initiate this process by sending written notice to the other describing the dispute. The parties will have 30 days to attempt resolution.
12.3 Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, in Wilmington, Delaware, or remotely if agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST AXIRON, CORP.
12.5 Exceptions
Either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent imminent harm, without waiving the right to arbitration.
12.6 Time Limitation
Any claim arising under these Terms must be brought within one (1) year of the date the cause of action arose, to the extent permitted by applicable law.
XIII. Changes to the Service and Terms
13.1 Changes to the Service
We may modify, add, or remove features of the Service at any time. For material changes that negatively affect your use of the Service, we will provide at least 14 days' notice via email or in-app notification. Your continued use after the notice period constitutes acceptance.
13.2 Changes to These Terms
We may update these Terms at any time. For material changes, we will:
- Send an email to the primary address on your Account
- Post a notice on the Site
- Provide at least 14 days' notice before the changes take effect
Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your Subscription. Previous versions of these Terms are archived at freezealert.app/legal/terms-archive.
XIV. Suspension and Termination
14.1 Termination by You
You may terminate your Account and Subscription at any time from Account Settings. Termination takes effect at the end of your current billing period.
14.2 Termination by Axiron
We may suspend or terminate your Account immediately and without liability if:
- You materially breach these Terms and fail to cure within 10 days of written notice (or immediately for breaches that cannot be cured, such as fraud or illegal activity)
- Required by law or regulatory authority
- We cease to operate the Service
14.3 Effect of Termination
Upon termination: (a) your license to use the Service ends immediately; (b) you must cease all use of the Service and API; (c) we will provide a data export window of 30 days before deleting Your Data; and (d) accrued payment obligations and provisions intended to survive termination will remain in effect.
14.4 Survival
The following Sections survive termination: Definitions, VI (Your Data), VII (IP), VIII (Confidentiality), IX.2 (Disclaimers), X (Limitation of Liability), XI (Indemnification), XII (Dispute Resolution), and XVI (General).
XV. Enterprise and White-Label
If you are interested in enterprise plans, white-label licensing, or custom integrations of FreezeAlert technology, contact [email protected]. Such arrangements require a separate written agreement and are not governed solely by these Terms.
XVI. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Form or DPA, constitute the entire agreement between you and Axiron, Corp. with respect to the Service and supersede all prior agreements, understandings, and communications.
16.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
16.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent, with notice.
16.5 Force Majeure
Neither party is liable for delays or failures caused by events outside their reasonable control, including natural disasters, government actions, internet outages, PSP API failures, or cyberattacks. The affected party will notify the other promptly and resume performance as soon as practicable.
16.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
16.7 Notices
Notices to Axiron, Corp. should be sent to [email protected] or by mail to: Legalinc Corporate Services Inc. (Registered Agent), 131 Continental Dr Suite 305, Newark, DE 19713, USA. Notices to you will be sent to the email address on your Account.
16.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
